These Terms and Conditions of Use (the “Terms and Conditions”) govern your use of the websites located at https://electionsgroup.com/ and https://electionlearninglab.com, as well as other websites owned and/or operated by The Elections Group LLC (“The Elections Group”) that link to these Terms and Conditions (collectively, the “Website”). These Terms and Conditions create a legal agreement directly between you and The Elections Group and explain the rules governing use of the Website. The terms “you” or “user” refer to all individuals and entities accessing the Website for any reason. The terms “us” or “we” refer to The Elections Group.
By accessing or using the Website, you acknowledge and agree that you have read, understand, and agree to be bound by these Terms and Conditions, as well our Privacy Policy. If you do not agree to these Terms and Conditions, please do not access or use the Website.

We reserve the right to change, modify, or discontinue the Website or any portion of the Site, including any and all content, at any time, without notice to you. The Elections Group reserves the right, in its sole discretion, to update, revise, supplement, and otherwise modify these Terms of Use, and to impose new or additional terms and conditions. Such updates, revisions, supplements, modifications, and additional rules, policies, terms and conditions shall be effective immediately and incorporated into these Terms of Use upon notice, which may be given by posting updates to this webpage and changing the “Last Updated” date at the top of this webpage. Your continued use of the Website following the posting of changes to these Terms of Use will mean you accept those changes.

- Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity;

- Use the Website or any of its content in any manner other than the manner in which it is intended to be used, unless you first obtain The Election Group’s express written consent; or

Except for the limited right expressly granted to you in these Terms of Use, The Election’s Group and its licensors expressly reserve all other rights and licenses.
We reserve the right to terminate your use of the Website and any related website for violating any of the prohibited uses.
You are solely responsible for (and agree that The Elections Group has no responsibility to you or to any third party for) any breach of your obligations under the Terms of Use and for the consequences (including any loss or damage which you may suffer) of any such breach.
3. Privacy and Your Information
By accessing and using the Website, you agree to the terms of The Election Group’s Privacy Policy, which are incorporated into these Terms of Use by reference. You are also expressly agreeing and consenting to the collection and use of your personal information and other data as set forth (and more fully described) in the Privacy Policy.
4. Not Legal Advice; No Attorney-Client Relationship Created
The information we provide on the Website is for your information only. We are not providing legal advice and nothing on the Website is intended to create any kind of attorney-client relationship. We assume no responsibility for any consequence relating, directly or indirectly, to any action or inaction you take based on the information or material on the Website. Reliance on any information provided is solely at your own risk.
5. Use Outside of the United States
The Elections Group makes no representation that the materials contained or offered on the Website are appropriate or available for use in jurisdictions outside the United States, or that these Terms of Use comply with the laws of any other country. Visitors who use the Website and reside outside the United States do so on their own initiative and are responsible for compliance with all laws, if and to the extent local laws are applicable. You agree that you will not access the Website from any territory where its contents are illegal, and that you, and not The Elections Group, are responsible for compliance with applicable local laws.
6. Updates and Upgrades
From time to time, we may need to deploy or provide patches, updates, upgrades, additional content, or other modifications to the Website (for example for maintenance and enhancements, to add or remove features, or to resolve software bugs or address security concerns). These updates and upgrades may result in the Website being temporarily unavailable. In certain circumstances, we may need to suspend, withdraw, or disable the Website for longer periods while we deploy these updates and upgrades.
7. Third-Party Websites
The Website may include links to third-party websites. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites. These Terms of Use and our Privacy Policy do not apply to such unrelated websites and you should review the privacy policy and terms of use for any website that you visit. The Elections Group is not liable for any losses or damages incurred as a result of your dealings with such third parties or third-party websites. In addition, we will not and cannot censor or edit the content of any third-party website.
8. Accounts for Election Learning Lab
If you register for an account for the Election Learning Lab, we will provide you with access to certain content that is only available to individuals who have accounts. You must provide truthful information about who you are and you must keep your email address and other account information current and accurate. Also, you agree to maintain the security and confidentiality of your user name and password. You are solely responsible for anything that happens using your account, even if your account is used without authorization because you failed to maintain the security and confidentiality of your account.
You may update your account information by signing in, then hovering over your name on the top right of the screen, and selecting “My Profile” from the menu. This will take you to your personal settings.
9. Ability to Accept Terms and Conditions of Use
You affirm that you have reached the age of majority in your jurisdiction or possess legal parental or guardian consent, and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in these Terms and Conditions, and to abide by and comply with these Terms and Conditions.
The Website is not intended for and we do not knowingly collect personal information from individuals under the age of 18. If we learn that we have collected personal information from an individual under the age of 18 without parental consent, we will delete that information and otherwise comply with the requirements of the applicable law. If you believe that we might have any information from or about a child, please contact us as described in our Privacy Policy.
10. Restrictions on Use
You agree not to use or launch any automated system, including without limitation, “bots,” “spiders,” “offline readers,” etc., that accesses the Website in a manner that sends more requests to our servers in a given period of time than a human can reasonably produce in the same period by using a conventional online web browser, or that otherwise imposes burdens on our systems or circumvents any technological blockers to such activities that we may have put in place. Notwithstanding the foregoing, we grant the operators of public search engines permission to use spiders to copy materials from the Website for the sole purpose of creating publicly available searchable indices of the materials. We reserve the right to revoke these exceptions either generally or in specific cases. You agree not to collect or harvest any personally identifiable information from the Website, nor to use the communication systems provided by the Website for any commercial solicitation purposes. You agree not to solicit any users of the Website for any commercial purposes. In addition, you agree not to use the Website for any unlawful or fraudulent activities.

All rights are reserved by The Elections Group and said third parties, and no implied rights are granted to you or any third parties. Without limiting the foregoing, no Elections Group trademark or trade dress may be used in connection with any product or service that is not The Elections Group’s, in any manner that is likely to cause confusion among users, or in any manner that disparages or discredits The Elections Group.

The Elections Group, or third parties from whom The Elections Group has permission, own the Website and all content that is used on the Website. All proprietary content and materials on the Website including, without limitation, the Website’s layout, organization, design, and any graphics, text, icons, audio, video, and the like are protected by copyrights, trademarks, service marks, trade secrets, and other proprietary rights and laws. You agree to comply with all applicable laws by not copying or using this proprietary content, except as allowed by these Terms of Use or by written consent of the owner of the proprietary rights.
You agree not to engage in the use, copying, or distribution of any of the Content or the Marks other than as expressly permitted herein. You acknowledge that you do not acquire any ownership rights by downloading or printing copyrighted Content or by using the Marks. This defense and indemnification obligation will survive these Terms and Conditions and your use of the Website.
17. Governing Law and Venue
All matters arising out of or relating to these Terms of Use are governed by and construed in accordance with the internal laws of the State of Utah without giving effect to any choice or conflict of law provision or rule (whether of the State of Utah or any other jurisdiction) that would cause the application of the laws of any jurisdiction other than those of the State of Utah. The United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transactions Act do not apply. You and The Elections Group expressly agree to submit to the exclusive jurisdiction and venue of the state or federal courts in the State of Utah, United States of America, in all disputes arising out of or relating to the use of the Website. YOU AND THE ELECTIONS GROUP AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE WEBSITE MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.
18. Assignment
These Terms and Conditions, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by us without restriction.
19. Entire Agreement
These Terms of Use and Privacy Policy constitute the entire agreement between you and The Elections Group relating to the Website and any content and materials obtained through the Website, and supersede all prior or contemporaneous understandings or agreements, written or oral, regarding such subject matter. These Terms of Use will inure to the benefit of The Elections Group successors and assigns.
20. Waiver and Severability
The Election Group’s failure to enforce any right or provision of the Terms of Use does not constitute a waiver of that right or provision. Any waiver of any provision of these Terms of Use will be effective only if in writing and signed by The Elections Group. If any provision of these Terms and Conditions is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms and Conditions, which shall remain in full force and effect.

22. Force Majeure
We are not liable to you, nor any other party, for any delay or failure in performance due to events outside of our reasonable control, including without limitation, acts of God or a public enemy, act of any military, civil or regulatory authority, change in any law or regulation, pandemic, fire, flood, earthquake, storm or other like event, disruption or outage of third-party communications facilities or networks, labor strike, delays of common carriers, or any other circumstances beyond our reasonable control.
